Invoices are due within the payment terms specified in the applicable agreement. Late payments may be subject to interest charges at the maximum rate permitted by applicable law. We reserve the right to suspend or terminate Services for Clients with outstanding undisputed balances.
Any fees quoted on the Site, if any, are estimates for informational purposes only and do not constitute a binding price quotation.
In the course of providing Services, we may have access to confidential information belonging to Clients, including business strategies, financial data, technical specifications, and proprietary systems. We agree to maintain the confidentiality of such information and to use it solely for the purpose of performing the Services.
We will not disclose Client confidential information to any third party without the Client's prior written consent, except as required by law or as necessary to perform the Services through our authorized personnel and contractors who are bound by confidentiality obligations.
These confidentiality obligations survive the termination of any engagement and continue to apply for as long as the information remains confidential.
The Site and all Content are provided on an "as is" and "as available" basis without warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement.

For Clients, the specific terms of any service agreement executed between the parties shall govern the provision of Services, and in the event of any conflict between such agreement and these Terms, the service agreement shall prevail with respect to the Services.
If any provision of these Terms is held to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect. The invalid or unenforceable provision shall be modified to the minimum extent necessary to make it valid and enforceable.
Our failure to enforce any right or provision of these Terms shall not be deemed a waiver of such right or provision. A waiver of any provision shall only be effective if made in writing and signed by the party against whom the waiver is sought to be enforced.
